THE TERMS BELOW APPLY TO YOUR ACCESS AND USE OF OUR WEBSITE www.askporter.com (“SITE”) AND RELATED SERVICES (“SERVICES”). Who we are. Our Site and related Services are provided by ask innovations GmbH & Co. KG (“we”, “us” and “our”). We are a company registered at the local court in Frankfurt am Main under number HRA 52482. Our registered address is Herriotstrasse 3, 60528, Frankfurt am Main, Germany.

Meaning of “Consumer”. For the purposes of these terms, a “Consumer” is someone who is using our Site or related Services for personal reasons, not for their job or business. In other words, it means a person acting mainly outside of their trade, business, craft, or profession.

Your privacy. Under data protection legislation, we are required to provide you with certain information including who we are, what personal data we use and collect about you, what we do with it any why, and about your privacy rights. This information is provided in our Privacy Policy.

Your right to use our Site and Services

We grant to you a non-exclusive, non-transferable right and licence, without the right to grant sublicences, to access and use our Site and related Services, and the materials, functions, services and digital content provided through the Site, subject to these terms.

To access and use our Site and/or related Services, you are responsible for providing your own means of access via the internet at your own cost. You are also responsible for ensuring that all persons who access our Site and/or related Services through your internet connection are aware of these terms, and that they comply with them.

There are other terms that may apply to you

These terms refer to the following additional terms, which also apply to your use of our Site and/or related Services:

  • Our Privacy Notice, which explains how we collect, use and store your personal data.
  • Our Cookie Policy, which sets out information about the cookies and local storage data our Site sets, including necessary functional data to identify you and your preferences, and data to aid performance monitoring of the Site.

In using our Site and/or related Services, you must at all times comply with all applicable laws, statutes, regulations and codes from time to time in force.

Our rights if you don’t comply with our terms

We have the right, at any time and without notice, to suspend or cancel your access to our Site and/or related Services if, in our reasonable opinion, you have failed to comply with any of these terms. In these circumstances, you agree not to use our Site and/or related Services without our permission.

We will not be liable to you for any losses that you may suffer or incur as a result of us exercising this right. However, if we suspend or cancel your access to our Site and/or related Services in a way that breaches these terms, you have a right to bring a claim against us for breach of contract.

If we end your right to access and use our Site and/or related Services you must stop all activities authorised by these terms, including use of our Site and/or related Services.

We may make changes to these terms

These terms may be updated from time to time. The most current version will always be published on our Site so every time you wish to use our Site or related Services, please check these terms to ensure you understand the terms that apply at that time.

Whenever we update these terms, we will tell you by emailing you (if we have contact details for you) and/or by clearly stating that they have been updated (with the relevant date) at the top of this page. Unless we say otherwise, the updated terms will be effective immediately on publication and your continued use of our Site and/or related Services confirms your acceptance of the changes. If you do not agree to the updated terms, you must stop using our Site and/or related Services.

We may make changes to our Site and/or related Services

We may update and change our Site and/or related Services from time to time, for example to reflect changes in relevant laws and regulatory requirements, or to add, remove and/or amend software, tools and features. Your continued use shall constitute your consent to such changes. We will try to give you reasonable notice of any major changes.

We may suspend or withdraw our Site and/or related Services

We do not guarantee that our Site and/or related Services, or any content accessed through them, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Site and/or related Services for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

To use our Site and/or Services, you may first need to register for an account with us - you must keep your user credentials confidential and safe

Sometimes, you may be asked to set up an account with us using your email address and to create a profile, for which we will ask you for some personal details, such as your name and email address, so please make sure you are using a private and secure internet connection.

You must treat any username and password to access our Site and related Services as confidential. You must not disclose it to any third party.

Your account and profile are personal to you and the information you provide must be kept accurate and up to date. Creating an account with false information is a breach of these terms.

You must not share your account with anyone else. You are responsible for anything that happens through your account unless you have reported misuse. If you know or suspect that anyone other than you has accessed your account, you must promptly notify us at cs@askporter.com.

We may, at our option and at any time, require you to promptly provide us with reasonable evidence that any information you have given us is true and up to date and that such information and your behaviour is in compliance with these terms. This might include, by way of example, information in connection with your registration to become a user or your profile. We can suspend or restrict your use of our Site and related Services until you have supplied this evidence.

Rules about using our Site and/or related Services

No right to let other people use our Site and/or related Services. You agree that you will not rent, lease, sub-license, loan, provide, or otherwise make available, our Site and/or related Services in any form, in whole or in part, to any person without prior written consent from us.

No right to copy, reverse engineer, etc.To the extent legally allowed, You agree that you will:

  • not copy any element of our Site and/or related Services, except as part of their normal use or where it is necessary for the purpose of back-up or operational security;
  • not translate, merge, adapt, vary, alter or modify, the whole or any part of our Site and/or related Services nor permit them or any part of them to be combined with, or become incorporated in, any other programs, except as necessary to use them on devices as permitted in these terms;
  • not disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of our Site and/or related Services nor attempt to do any such things; and
  • not access all or any part of our Site and/or related Services in order to build a product or service which competes with us;
  • not use our Site and/or related Services to provide services to third parties or allow third parties to use our Site and/or related Services.

Acceptable use restrictions. You must:

  • comply with all applicable laws when using our Site and/or related Services;
  • not use our Site and/or related Services in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into our Site or any operating system, or by impersonating, or misrepresenting an affiliation with, any person or entity;
  • not infringe our intellectual property rights or those of any third party in relation to your use of our Site and/or related Services;
  • not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of our Site and/or related Services, including material that is racially or ethnically offensive; facilitates illegal activity; depicts sexually explicit images; or promotes unlawful violence, discrimination based on race, gender, colour, religious belief, sexual orientation, disability, or any other illegal activities;
  • not transmit any material that contains any personal data without the permission of the individual whom it concerns;
  • not transmit any material that is false, unlawful, misleading, libellous, defamatory, inaccurate, out of date or incomplete;
  • not use our Site and/or related Services in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users;
  • not collect or harvest any information or data from our, Site and/or related Services or our systems or attempt to decipher any transmissions to or from the servers running our, Site and/or related Services; and
  • not use our Site or related Services for unsolicited promotions, mass mailings or “spamming”, transmission of “junk mail”, “chain letters”, political campaigning, advertising, contests, raffles, or solicitations.

How you may use material and content on our and/or Site or otherwise accessed through related Services

You are not permitted to use our trade marks without our approval, unless they are part of material you are using as permitted under this section of our terms.

We are the owner or the licensee of all intellectual property rights in our Site, and related Services, and in the material and content published on them. That material and content is protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off, and may download extracts, of any page(s) from our Site or for your personal use and you may draw the attention of others to material and content posted on our Site and/or related Services. If any of the extracts you print off or download contain anyone else’s personal data (e.g. their name, photo or likeness, and details of their illness), you must keep this confidential and not share it with anyone else without their express permission.

You must not modify the paper or digital copies of any materials and content you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of materials and content on our Site and/or otherwise accessible through our Services must always be acknowledged (except where it is user-generated).

You must not use any part of the materials and content on our Site and/or otherwise accessed through our Services for commercial purposes.

If you print off, copy, download, share or repost any part of our Site or Celie in breach of these terms, we have the right, without notice, to suspend your use of our Site and/or related Services. In these circumstances, you must also, at our option, return or destroy any copies of the materials and content you have made (except that you are permitted to print off a copy of these terms). If you breach the restrictions regarding other people’s personal data, we may have to have recourse to other legal remedies to prevent you using, sharing or distributing such personal data.

Except as expressly set out here, nothing in these terms gives you any rights in respect of any intellectual property owned by us or our licensors and you acknowledge that you do not acquire any ownership rights by downloading any or accessing our Site.

No text or data mining, or web scraping

You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our or Site for any purpose. This includes using (or permitting, authorising or attempting the use of):

  • Any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our or Site, or any data, content, information or services accessed via the same.
  • Any automated analytical technique aimed at analysing text and data in digital form to generate information or develop, train, fine-tune or validate AI systems or models which includes but is not limited to patterns, trends and correlations.

You shall not use, and we do not consent to the use of, our, Site and/or related Services, or any data published by, or contained in, or accessible via, them for the purposes of developing, training, fine-tuning or validating any AI system or model.

The provisions in this section should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790). However, they will not apply insofar as we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.

Rules about linking to our, Site and/or related Services

Our Site must not be framed on any other site without our prior agreement in writing, nor may you create a link to any part of our, Site and/or related Services other than the home page. If you link to our home page, you must do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

Any website in which you are linking must be owned by you and comply in all respects our acceptable use restrictions set out above.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

If you wish to link to or make any use of materials and content on or accessed through our Site and/or related Services other than that set out above, please contact us for permission (see the “Who we are and how to contact us” section above). We reserve the right to withdraw linking permission without notice.

Uploading, posting or sharing information or content to our or Site

If you create content directly on our Site, or post, upload or otherwise share (“Share”) information or content to our Site, or make contact with other users of our Site and/or related Services, you must comply with our acceptable use restrictions set out above.

You are responsible for the information or content you Share on our Site. You warrant that you have the right to Share such information and content and that it complies with our acceptable use restrictions set out above. You are liable to us and will indemnify us for any breach of that warranty. This means you will be responsible, and will reimburse us, for any losses we suffer or incur as a result of you not complying with that warranty.

We will consider any information or content you Share on or through our Site and/or related Services to be non-confidential and not protected by any trade mark, patent or copyright (i.e. to be non-proprietary and in the public domain). You own the information and content that you Share, but you grant us and other users of our Site and/or related Services a limited licence to use, store and copy it and to make it available to others. We also have the right to disclose your identity to anyone who is claiming that any information or content Shared by you on our Site and/or related Services violates their intellectual property rights or their right to privacy.

If the information or content you Share on our Site and/or related Services includes personal data, it is subject to our Privacy Notice. Your use of other people’s personal data is subject to our Privacy Notice and our acceptable use restrictions set out above. Please note that, as a basic rule, you should not use others’ personal data unless you know that you have the right to do so.

We are not obliged to publish any information or content you Share and have the right to remove it if, in our opinion, it does not comply with our acceptable use restrictions set out above.

If you wish to contact us in relation to information or content you have Shared but we have taken down, please contact us (see the “Who we are and how to contact us” section above). You have a right to bring a claim against us for breach of contract if we restrict access to your information or content in a way that breaches these terms.

Rights you are giving us to use material or content you Share or generate

When you Share information or content on or through our Site and/or related Services — including information, data, and materials you submit to the Services, reviews, comments, poll responses, survey answers, uploaded materials and any other contributions, and including any personal data contained within them, you grant the following rights:

  • A worldwide, non-exclusive, royalty-free, transferable, sublicensable licence for us and our affiliated companies to use, copy, modify, distribute, publish, process, analyse, prepare derivative works of, display and perform that information and content in connection with providing, improving and promoting our Site and/or related Services across different media, including to promote our Site and/or related Services, to expire when you delete the information or content (unless it has already been used in aggregated or anonymised form).
  • A worldwide, non-exclusive, royalty-free, transferable licencefor other users of our Site and/or related Services, and for our trusted third party partners to use the information and content for their purposes, to expire when you delete the information or content (again, excluding any aggregated or anonymised outputs already created).User-generated content is not approved by us

AI-Generated Outputs. To the extent that any outputs, responses, summaries, classifications, or other materials are generated by your use of our Site and related Services (including through any artificial intelligence functionality) based on information provided by you (“AI Outputs”), you acknowledge and agree that: (i) the AI Outputs are generated automatically and are not specific to you; (ii) the AI Outputs do not constitute your proprietary content; and (iii) all right, title and interest in and to the AI Outputs (including all intellectual property rights in them) shall vest in and be owned by us.

User-generated content is not approved by us

Our Site and/or related Services may include content Shared by other users. This content has not been verified or approved by us. The views expressed by other users on, or accessible through, our Site and/or related Services do not represent our views or values.

You agree that we are not responsible for other users’ content. Your use of others’ content Shared on our Site and/or related Services, is at your own risk.

Our Site and related Services use artificial intelligence (AI)

Our Site, and related Services use artificial intelligence (AI) to help End Users report property‑related issues quickly and accurately, and property owners or operations managers to view and manage such issues and efficiently facilitate repairs.

If you are an End User, the AI assists by identifying who you are, where you are, and which asset or location is involved. It may ask follow‑up questions to collect any missing details and uses this information to generate tasks and route them to the appropriate team.

If you are a property owner or operations manager, the AI assists by enabling you to view and action tasks, or to request more information about reported issues.

Any information generated by the AI is for general guidance and operational support only.

The AI works by recognising patterns in the information you provide. Although we apply strict guidelines and human oversight, it may occasionally behave in ways that are unexpected, repetitive, or unclear. It may also ask questions that feel specific or detailed in order to understand the issue properly. You are not required to answer any question, and you may stop interacting with the AI at any time.

Important points to be aware of

  • The AI may sometimes generate content that is incomplete, outdated, inaccurate, or misleading.
  • Because the system is updated frequently, some content may not have been reviewed by a human before you see it.
  • Any summaries, suggestions, or interpretations generated by the AI should not be treated as definitive, verified, or a substitute for professional assessment or on‑site inspection.

As users, you can help us to keep the AI accurate and appropriate. Please email us at cs@askporter.com if you encounter:

  • Responses that seem inappropriate, confusing, or unpredictable.
  • Content that appears harmful, misleading, or factually incorrect.
  • Questions or interactions that feel overly intrusive or outside the intended scope of reporting a maintenance issue.

The materials and content on or accessed through our Site and/or related Services are provided for general information only. They are not intended for you to rely on them. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the materials and content you find.

Although we make reasonable efforts to update the information on or accessible through our Site and/or related Services, we make no representations, warranties or guarantees, whether express or implied, that everything is accurate, complete or up to date.

We are not responsible for websites we link to

Our Site and/or related Services sometimes contains links to other websites and resources provided by third parties. We include these to provide you with access to information, products or services that you may find useful or interesting, but they are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those websites or resources.

We are not responsible for viruses and you must not introduce viruses

Our responsibility for loss or damage suffered by you

Our Site and related Services are made available on an ‘as is’ basis and, to the fullest extent permitted under applicable law, we disclaim any implied terms as to title, merchantability, fitness for a particular purpose and non-infringement.

Whether or not you are a Consumer, we do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

If you are a consumer, then subject to the losses we never limit or exclude referred to above, we are only responsible for foreseeable losses you suffer as a result of us breaching these terms unless the loss is:

  • Unexpected. This means that it was not obvious that the loss would occur and nothing you told us before starting to use our Site and/or related Services meant that we should have expected it (so, under the law, the loss was unforeseeable).
  • Caused by a delaying Event Outside Our Control, provided we have taken the steps set out in the section headed “Events outside our control” below.
  • Avoidable. This means the loss was something you could have avoided by taking reasonable action.
  • A business loss. This means any loss you suffer in connection with your trade, business, craft or profession. We only provide our Site and/or related Services to you for personal use. You agree not to use them for any commercial or business purposes, and therefore we have no liability to you for: (i) loss of income, profits, sales, business, revenue or data; (ii) business interruption; (iii) loss of anticipated savings; (iv) loss of business opportunity, goodwill or reputation; or (v) any indirect or consequential loss or damage of any kind.
  • Your fault. This means the loss was something that resulted from your own act or omission, including your breach of these terms.

If you are NOT a Consumer(e.g. the employee of a managing agent), then subject to the losses we never limit or exclude referred to above:

  • we will not be liable to you for any loss or damage, even if foreseeable, arising in whole or in part from your use of our Site and/or related Services or any content or information provided through our Site and/or related Services;
  • in particular, we will not be liable for: (i) loss of income, profits, sales, business, revenue or data; (ii) business interruption; (iii) loss of anticipated savings; (iv) loss of business opportunity, goodwill or reputation; or (v) any indirect, consequential, punitive, exemplary, incidental or special loss or damage of any kind, in each case whether arising in whole or part from your use of our Site and/or related Services or any content or information provided through our Site and/or related Services; and
  • without prejudice to the above, our aggregate liability to you in respect of a claim under or in connection with these terms, your use of our Site and/or related Services or any content or information provided through our Site and/or related Services, shall not exceed the aggregate amount paid by you to us for access to, and use of, our Site and/or related Services in the twelve (12) months preceding the event giving rise to the claim against us.

Defective digital content: If defective digital content that we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

Limitation on time to make claims: SUBJECT TO YOUR STATUTORY RIGHTS, ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THE USE OF OUR SITE AND/OR RELATED SERVICES UNDER THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Your statutory rights: Nothing in these terms shall limit or exclude your statutory rights.

The limitations of liability in this section apply to all claims of liability (e.g., warranty, tort, negligence, contract and law).

Events outside our control

We will not be liable or responsible for any failure or delay in performing our obligations under these terms, where such failure of delay is caused by an Event Outside Our Control (defined below). We recommend that you back up any content and data used in connection with the Site, to protect yourself in case of problems with the Site or related Services.

In these circumstances, we will contact you as soon as possible and do what we reasonably can to minimise the impact on you. As long as we do this, we won’t compensate you for the delay or failure.

An Event Outside Our Control means any act, event, omission or accident beyond our reasonable control, including (without limitation) failures or outages of the public internet, hosting providers, cloud infrastructure, telecommunications networks, power supply, or third-party platforms; denial-of-service attacks or other malicious events; acts of government; changes in law or regulation; labour disputes; fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disasters; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, attacks by foreign actors, war (whether declared or not) or threat or preparation for war.

Which country's laws apply to a dispute

These terms, their subject matter and their formation, are governed by English law. We both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are a resident of Scotland, you may also bring proceedings in Scotland.

Other important terms to be aware of

Terms that continue after termination. Provisions of these terms that expressly or by their inherent nature should survive termination or expiry of these terms shall survive termination or expiry.

Severing illegal terms. If a court finds part of these terms illegal, the remaining terms will continue in full force and effect.

We may transfer our agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under these terms.

You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.

Nobody else has any rights under this EULA. Our agreement with you based on these terms is between you and us. No other person shall have any rights to enforce any of its terms.

Even if we delay in enforcing these terms, we can still enforce them later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of you breaching these terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

We always appreciate your feedback. We may use feedback and other suggestions without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential.

Changes.Except where stated otherwise in these terms, no changes to these terms shall be effective unless it is in writing and signed by you and us.
